The company originally stated that they expect the deal to close in the 2nd quarter. In the PR today they said that the transaction would close “soon” so there does seems to be some uncertainty about this.

But, why isn’t it trading close to buyout price + next dividend, i.e. ~27.2. Is the deal expected to close before they have to pay the March dividend?

Selling half when you’re not sure which is the right option is often a good move. You may be able to vote “no” with the whole position, however… the votes are based on shareholders of record on Jan 31st.
